Part I 1. The American Society of Papyrologists, a non-profit association, is the American affiliate of the Association Internationale de Papyrologues. The purpose of the Association Internationale de Papyrologues is to assist international collaboration in the field of papyrology, and to contribute to the progress of this science by the organization of international congresses, by the publication or revision of works of reference, or of other subsidia essential to papyrology, and by all other means which are judged useful. 2. The American Society of Papyrologists, organized exclusively for educational purposes as an affiliate of the Association Internationale de Papyrologues, subscribes to and assists in the work of the Association Internationale de Papyrologues, with particular attention to the problems of scholars in the Western Hemisphere. 3. The American Society of Papyrologists holds an annual meeting to review problems of the science and to propose new efforts to advance knowledge in the field. The Society subsidizes educational research, provides scholarships and fellowships to students who need financial aid, and provides facilities for communication among scholars working in the field. The Society will undertake these educational projects and any other educational projects as may be directed by the Board of Directors or the members in annual session. 4. Membership. The ASP welcomes any individual into its membership who is interested in all aspects dealing with the written world of papyrological texts in their full chronological, linguistic, and geographical diversity. Membership applications are welcomed via the society's website. The society does not subject applications to an approval process, but it expects its members to adhere to its standards of professional ethics [link to the document.] Membership in the Society is divided into classes, and these shall be the following: Benefactor Contributing Member Sustaining Member Supporting Member Regular Member Student Member (The Society also continues to honor the terms of Life Membership for those who enrolled before that class was dissolved.) Dues for the classes shall be those rates established by the members through the Society’s governing bodies, outlined below, and shall be payable annually. 5. The Society encourages members to join the Association Internationale de Papyrologues (AIP), and allows members to pay AIP dues through the Society. The AIP funds will be held separately and transferred to the AIP annually; there will be no commingling of funds. 6. Termination of membership. Membership of the ASP can be terminated at the request of the member, by not paying dues in two consecutive years, or by disciplinary action. (a) Members who want to terminate their membership should write to the Secretary-Treasurer at least three months before the end of its official year (see section 8). (b) Membership of those who have not paid their dues for two consecutive years will be terminated by the Secretary-Treasurer. (c) Membership can be terminated as the result of a disciplinary action. One or more ASP member(s) may bring a complaint by petition to the Board of Directors, through the Secretary-Treasurer, about any violations of the principles laid down in the ASP Statement on Professional Ethics [Link to document] or the present ASP Constitution. The Board shall decide within 15 days whether the complaint should be referred to the Committee on Professional Ethics (see part II 1(e)). This committee shall submit a report to the Board of Directors, normally within 90 days, and may recommend a sanction, including prohibition from publishing in any ASP publications, participating in the ASP Summer Institute, presenting at ASP panels, or termination of membership. The complainant(s) and defendant(s) can appeal to the Board of Directors within 30 days of the reception of the report. After this date, the vote of the Board of Directors shall take place within 30 days. Its decision shall be final. Part II 1. (a) The Board of Directors shall number ten. It is to be composed of the officers listed in (b) below, together with Editor-in-chief of American Studies in Papyrology and the Bulletin Supplements and the Editor-in-chief of the Bulletin, who shall serve as directors ex officio, the immediate past president, and four other directors to be elected at large by a majority of the annual meeting. The officers and directors shall serve terms of three years unless otherwise stipulated below. (b) The officers of the Society shall be a President, a Vice-President, and a Secretary-Treasurer. The officers shall be members of the Board of Directors and shall be elected in the manner prescribed for Directors. Officers shall perform such duties as the Directors shall from time to time assign to them. On nomination of the Board of Directors the majority of the membership may elect from time to time Honorary Presidents for life (without specific duties). (c) The Editorial Board of the Bulletin shall be composed of three editors, who shall be appointed by the Board of Directors for terms of six years each. The Editorial Board of American Studies in Papyrology and the Bulletin Supplements shall be composed of four members, three editors who shall be appointed by the Board of Directors for six-year terms and the Secretary-Treasurer, who shall serve ex officio. (d) The president shall appoint a Committee on Professional Ethics, composed of three members who have previously acted as officers or directors of the Society, who shall serve staggered terms of three years. (e) The president shall appoint a Summer Institute Committee, composed of three members, who shall serve staggered terms of three years. (f) The Directors may from time to time appoint advisory committees to the Directors composed wholly or in part of persons not serving as Directors. Such committees shall serve at the pleasure of the Directors. 2. Two financial trustees are responsible for supervision of the Society’s funds and budget; they establish policies for the investment of the Society’s funds and make all decisions concerning the implementation of those policies. They recommend to the Board of Directors a policy for spending from the Society’s endowment funds. The trustees serve six-year terms, with one elected every three years in the manner prescribed for Directors; they may be re-elected once. 3. The American Society of Papyrologists shall at no time take action in any political campaign on behalf of any candidate for public office, or at any time carry on propaganda or other activities to influence legislation. There shall be no amendments to this constitution in conflict with Sec. 501 (3) of the U.S. Internal Revenue Code or in conflict with later amendments to or substitutions for Sec. 501 (c) (3) of the U.S. Internal Revenue Code. No program shall be undertaken by the American Society of Papyrologists which may be in conflict with Sec. 501 (c) (3) of the U.S. Internal Revenue Code or in conflict with later amendments to or substitutions for Sec. 501 (c) (3) of the U.S. Internal Revenue Code. 4. No part of the Society's income is distributable to its members, directors, or officers. This article shall not preclude reimbursement for expenses incurred in the Society's behalf, nor shall it prevent defrayment of expenses on behalf of the Society's educational programs and projects. 5. The annual meeting of ASP members has full powers to propose and enact educational programs and projects at its discretion, and to ratify the actions of the Board of Directors. The annual meeting has sole power (a) to elect officers and members of the Board of Directors, (b) to modify the constitution, and (c) to levy any dues. The deliberations and decisions of the annual meeting will be valid regardless of the number of members present and will be obligatory upon all. The annual meeting may, at the instance of the Board of Directors, be conducted through tele-communication. 6. Except for the provisions of the preceding article, the Board of Directors has full power to administer the American Society of Papyrologists and to initiate educational projects for the Society towards the realization of its objectives. 7. The Society agrees to indemnify, defend and hold harmless the board members, its officers, directors and employees, from and against all liability, loss, cost or expense (including attorney’s fees) by reason of liability imposed upon the Society, arising out of or related to organization’s activities, whether caused by or contributed to by the members or any other party indemnified herein, unless caused by the sole negligence of the member or any other party indemnified herein. The Society may maintain insurance, at its expense, to protect itself and any such person against any such liability, cost or expense. 8. The official year of the Society shall be 1 January to 31 December, and the fiscal year shall be the same. Part III 1. The American Society of Papyrologists shall not be dissolved except by the consent of three-quarters of the members. Any proposal for such dissolution, or any proposal for change in the basic purpose of the Society shall rest for one year before any vote is taken, and all members shall be notified of said proposal. 2. If the American Society of Papyrologists should be dissolved, or if the basic purpose of the Society should be changed, any funds or other assets which the Society may hold shall be transferred to another non-profit association with the same purpose or aim as the original purpose of the Society, or which will undertake to accomplish such purpose or aim. 3. If funds or assets are transferred upon dissolution, they shall in any case be transferred only to an organization described in Section 501 (c) (3) of the United States Internal Revenue Code.
